NOTE: Please understand our 5¢ Cost Per Click or CPC policy and UNDERSTAND that we do not endorse Pay-Per Click search engines/paid to read email internet marketing. This policy prohibits keyword buys under our nickle. You can still be a publisher/affiliate of our program but you must talk with us first! If you want to be or remain a publisher/affiliate and do keyword buys, the 5¢ CPC will not be counted for commissions and the total will be deleted out each month. Also, abuse of our CPC policy constitutes into termination if we discuss these issues with you and are unable to agreeably work something out. WHY? The Supply Source Affiliate Program is a CPA program which means cost per acquisition, not the other way around. (CPA has been described as, 'you take the risk.' You take the risk to sign up with us and promote us on your website or network of users. If we take away the risk or part of the risk by supplementing you the 5¢ CPC when you advertise our affiliate program in a Pay-Per Click search engine/paid to read email then we take away the 5¢ CPC CPA offer from you.)

Also, you must understand that we reserve the right to disable an affiliates' clicks at 5¢ if the affiliate brings us during a month period "bad traffic." We may put your affiliate program under probation and disable your 5¢ click priviledge for a period. During this time of review, we will monitor your traffic to see if visitors go past the home page. We have tracking tools to let us know whether your affiliate traffic is just going to our website landing page and backing out with the back button. This type of traffic is what we consider as "bad traffic."

NOTE TO AFFILIATES: While it is true we have a 1-800 customer service # for telephone sales, our custumer service staff is trained to ask every caller how they found us. As a convenience to your REFERRED affiliate visitors, they have your referrer ID displayed next to our phone number and this is always asked when a call comes in order to credit your sale and give the user an extra 5% savings on their next order. For most affiliate programs at least 30% of your rightful income is lost on the telephone order.

3) Unacceptable Content: Supply Source reserves the right to deem what is acceptable or unacceptable content within it's Program.

4) Limitation of Liability: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

5) Responsibility for Site/Indemnification: You will be solely responsible for the development, operation, and maintenance of Your website and for all content that appears on your website. Supply Source and it's subsidiaries, affiliates, officers, agents, other partners, and employees, are harmless from all claims damages, demands, and expenses (including without limitation, attorneys' fees) relating to the development, operation, maintenance and contents of your website, your use of the Content in Supply Source, your violation of this Agreement, or your violation of any rights of another party.

6) Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

5) Miscellaneous: This Agreement will be governed by the laws of the United States and the State of Florida, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Florida and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
